Terms of Service

These Terms of Service (“Terms”) constitute a legally binding electronic contract published by Fieldr Sports Pvt Ltd (formerly FTR PlayPro Sports Pvt Ltd), a company incorporated under the Companies Act, 2013, bearing CIN U92410KA2024PTC000000, having its registered office at Bengaluru, Karnataka (“Fieldr Sports”, “we”, “us” or “our”), which operates the Fieldr Sports marketplace platform (the “Platform”).

This document is an electronic record in terms of the Information Technology Act, 2000 and the rules framed thereunder, published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020.

1. Definitions

• “Applicable Law” means all applicable Indian statutes, enactments, acts of legislature or parliament, ordinances, rules, bye-laws, regulations, notifications, guidelines, policies, directions, and orders of any governmental authority.
• “Buyer” means any natural or legal person who registers on the Platform, places an Order, posts an RFP, or procures goods or turnkey services through the Platform.
• “Content” means any text, image, graphic, CAD drawing, technical specification, review, rating, or data published on or transmitted via the Platform.
• “Listing” means an offer to sell sports goods, civil materials, or turnkey build services displayed by a Vendor on the Platform.
• “Order” means a binding purchase order placed by a Buyer and confirmed by a Vendor through the Platform.
• “RFP” means a Request for Proposal posted by a Buyer inviting quotes, specifications, and timelines from verified Vendors and turnkey contractors.
• “Transaction” means any contract of sale or engagement concluded directly between a Buyer and a Vendor facilitated by the Platform.
• “Vendor” means any verified manufacturer, distributor, contractor, sports architect, or skilled team listed on the Platform.

2. Eligibility and Registration

The Platform is intended for commercial businesses and for individuals who are at least eighteen (18) years of age and competent to contract under the Indian Contract Act, 1872. By accessing or using the Platform, you represent and warrant that you possess full legal capacity to enter into these Terms.

Vendors must successfully complete Fieldr Sports’s Know-Your-Customer (KYC) verification (including GSTIN, PAN, and bank account validation) prior to listing any goods or services. Fieldr Sports reserves the right to decline, suspend, or revoke any account where verification is incomplete or inaccurate.

3. Nature of the Platform and Marketplace Intermediary Role

Fieldr Sports operates the Platform as an intermediary and marketplace facilitator that connects Buyers with independent, verified Vendors. Fieldr Sports is an “intermediary” within the meaning of Section 2(1)(w) of the Information Technology Act, 2000 and a “marketplace e-commerce entity” within the meaning of the Consumer Protection (E-Commerce) Rules, 2020.

Unless expressly stated in writing for a specific listing, Fieldr Sports is not the seller or manufacturer of goods or the provider of construction services listed by Vendors, is not the seller of record, and is not a party to the contract of sale or turnkey engagement between a Buyer and a Vendor. Every Transaction is a bipartite contract concluded directly between the Buyer and the relevant Vendor.

Fieldr Sports’s role is limited to providing the digital marketplace infrastructure, RFP matching engine, order-facilitation tools, escrow handling, dispute mediation, and verified ratings. Fieldr Sports does not manipulate the price of goods or services to gain unreasonable profit, does not adopt unfair trade practices, and does not discriminate unfairly between similarly situated Vendors.

4. Buyer Obligations

• Provide accurate shipping, GSTIN, legal billing, and contact details, and keep such information updated.
• Inspect goods promptly upon delivery and raise any shortage, defect, or discrepancy through the Platform within the timelines set out in our Refunds & Returns Policy (typically within 48 to 72 hours).
• Ensure compliance with all municipal, civil, fire-safety, and zoning requirements applicable to sports facility installations and construction.

5. Vendor Obligations

• Maintain complete and truthful Listings, including accurate stock levels, lead-times, HSN/SAC codes, technical specifications, and warranty coverage.
• Honour all confirmed Orders and delivery service level agreements (SLAs) as set out in the Vendor Marketplace Agreement.
• Comply with all Applicable Law, including the Legal Metrology Act, 2009, Bureau of Indian Standards (BIS) specifications, and Consumer Protection Act, 2019.

6. Pricing, Payment and Invoicing

All prices on the Platform are stated in Indian Rupees (INR) and are exclusive of applicable Goods and Services Tax (GST) where indicated separately. Vendors are solely responsible for correct tax classifications and issuing valid GST tax invoices with HSN/SAC details.

Payments are processed through RBI-authorised, PCI-DSS Level 1 certified payment gateways. Fieldr Sports does not store complete debit/credit card numbers or CVV codes on its servers. Where Net-30 B2B credit terms are offered, they remain subject to underwriting and credit approval.

7. RFPs, Bids and Facilitation

The Platform enables Buyers to post RFPs and receive competitive bids from verified contractors and sports architects. Fieldr Sports facilitates comparison and bid normalization but does not warrant that any RFP will receive bids or that any resulting build will meet subjective aesthetic expectations. Any contract formed upon bid acceptance is concluded directly between Buyer and the awarded Vendor.

8. Intellectual Property

The Platform, the name and registered trademark “FIELDR”, the Fieldr Sports logo, user interface designs, software codebase, and original content are the exclusive intellectual property of Fieldr Sports Pvt Ltd. You may not scrape, frame, reverse-engineer, copy, or create derivative works from the Platform without prior express written consent.

9. Prohibited Conduct

Users agree not to: (a) list or solicit counterfeit, grey-market, or prohibited items; (b) publish false, defamatory, or infringing Content; (c) circumvent the Platform to transact or settle offline in order to evade marketplace fees; (d) introduce viruses or interfere with Platform security; or (e) violate any Applicable Law.

10. Limitation of Liability & Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Fieldr Sports disclaims all implied warranties regarding merchantability and fitness for a particular purpose.

In no event shall Fieldr Sports’s total aggregate liability arising out of or related to these Terms exceed the total fees actually received by Fieldr Sports from the User in the three (3) months preceding the claim, or INR 10,000, whichever is higher. Fieldr Sports shall not be liable for any indirect, special, incidental, or consequential damages.

11. Grievance Redressal Mechanism

In compliance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, Fieldr Sports has appointed a designated Grievance Officer:

12. Governing Law and Arbitration

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration by a sole arbitrator in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bengaluru, Karnataka, and the proceedings shall be conducted in English.
